TO THE FULLEST EXTENT PERMITTED BY LAW, Y.A. CONSULTING LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF USD $2,500 OR THE AMOUNT YOU PAID TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations do not apply to liability resulting from gross negligence, willful misconduct, or death or bodily injury caused by our products or services where applicable law prohibits such limitation.

13. Indemnification

You agree to defend, indemnify, and hold harmless Y.A. 14. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the State of California, U.S.A., without regard to conflict-of-law rules.

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts of Los Angeles County, California. You waive any objection to venue or jurisdiction in those courts.

15. Arbitration

At our sole discretion, we may require you to submit any dispute arising from these Terms to final and binding arbitration in Los Angeles, California, under the Rules of Arbitration of the American Arbitration Association applying California law.

The arbitration award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

16. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

17. Waiver and Severability

No waiver by the Company of any term or condition shall be deemed a continuing waiver of such term or any other term.

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Y.A. Consulting LLC regarding the Site and supersede all prior agreements, written or oral.

19. Exclusions and Consumer Rights

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by law.
